Platform Terms.

These terms govern your access to and use of the QuoteLeads Branded Lead Gen System platform. By completing registration and onboarding, you agree to be bound by them in full.

Overview

What these Terms cover.

These Platform Access Terms ("Terms") govern your access to and use of the QuoteLeads Growth Accelerator platform ("Platform"). By completing registration and onboarding, you ("Client") agree to be bound by these Terms in full. These Terms operate alongside the QuoteLeads Terms & Conditions and Privacy Policy. If you do not accept these Terms, do not proceed with enrolment.

QuoteLeads is a technology platform, not a service provider or agency. Access to the Platform includes a done-for-you system build, automated lead delivery infrastructure, CRM configuration, paid advertising deployment, and ongoing platform management tools - all operated under the Client's branding.

Australia only. QuoteLeads is an Australia-only platform. The Platform and Services are intended solely for businesses located in Australia, and we do not offer, sell, or provide access to the Platform, the Services, or any leads to anyone outside Australia. By completing registration and onboarding, the Client represents and warrants that it is located in Australia and operates a business registered in Australia. QuoteLeads reserves the right to refuse, suspend, or terminate access for any person or business located outside Australia.

Section 1

Platform Features.

Upon activation, the Platform provides:

  • Paid advertising campaign build and deployment under the Client's branding
  • CRM configuration and lead delivery infrastructure
  • Customised communication and follow-up automations
  • Full access to QuoteLeads HQ for campaign visibility, lead tracking, and performance data
  • AI-assisted lead follow-up tools and automation workflows
  • Tracking, analytics, and campaign performance reporting

Platform access continues on a month-to-month basis following the initial term. The Client may cancel at any time without notice or penalty.

Section 2

No Outcome Representations.

QuoteLeads makes no representations regarding specific revenue, sales, lead volume, or profit outcomes. Platform performance is influenced by factors outside QuoteLeads' control, including but not limited to: the Client's pricing and competitive positioning, sales process and conversion capability, responsiveness to leads, market conditions, seasonal demand, local competition, and operational capacity.

Section 3

30-Day ROI Guarantee.

QuoteLeads provides the following limited guarantee to Clients who have operated the platform in strict compliance with all required protocols during their first engagement. This guarantee applies once only, to the initial 30-day campaign window, and cannot be transferred, extended, or re-applied under any circumstances.

The guarantee: If, after the first 30 consecutive calendar days of active ad campaign operation, the Client can demonstrate - with documented evidence - that no revenue was generated from platform-delivered leads sufficient to cover the combined platform management fee and ad spend for that period, QuoteLeads will provide one additional 30-day platform management period at no further platform management fee.

All of the following conditions must be strictly and fully satisfied to qualify. Failure to satisfy any single condition voids the guarantee in its entirety:

  • The 30-day period must be the first 30 consecutive calendar days from the date the Client's ads first went live - no later window qualifies
  • Advertising campaigns must have run without a single day of interruption or pause during the full 30-day period - any pause of any duration, for any reason, immediately voids the guarantee
  • The Client must not have requested, suggested, or caused any modification to campaign settings, budgets, creative, copy, targeting, or any other campaign variable during the 30-day period
  • The ad spend budget must have been maintained at or above the originally agreed level for every day of the 30-day period without reduction
  • AI SMS must have been continuously active and without interruption for the full 30-day period, with no gap in SMS credit balance at any point
  • The Client must have personally contacted 100% of all delivered leads within 5 minutes of receipt - any lead not contacted within this window disqualifies the entire claim
  • Structured follow-ups must have been completed on Days 2, 5, and 10 for every single delivered lead
  • All lead outcomes must have been recorded in the QuoteLeadsHQ CRM within 48 hours of each interaction
  • All creative, copy, and access approvals during the platform build phase must have been returned to QuoteLeads within 24 hours of each request
  • All platform fees and ad spend invoices must be paid in full with zero outstanding balance at the time the claim is submitted
  • No disputes, payment challenges, or billing inquiries may have been raised by the Client at any point prior to or during the 30-day period
  • The Client must not be in breach of any provision of these Terms, the QuoteLeads Terms & Conditions, or any platform usage policy at the time of the claim
  • The guarantee claim must be submitted in writing to contact@quoteleads.com.au no later than 7 days after the 30-day period concludes - claims submitted after this window will not be considered under any circumstances
  • The claim must be accompanied by: timestamped CRM records for every lead interaction, documented evidence of all follow-up activity, and a written statement of all revenue outcomes from delivered leads during the period
  • QuoteLeads retains sole and absolute discretion to assess whether the qualifying conditions have been met. QuoteLeads' determination is final and binding

This guarantee does not cover and cannot be applied to:

  • Advertising spend paid directly to third-party platforms - non-refundable in all circumstances
  • The platform build fee, governed separately under Section 5
  • Revenue, profit, or sales conversion outcomes, which remain subject to Section 2
  • Any period affected by Client interference, as defined under Section 7
  • Underperformance caused or contributed to by the Client's own pricing, quoting speed, availability, sales skills, or responsiveness
  • Engagements beyond the Client's first - this guarantee is not available to returning, reactivated, or restructured Client accounts

Remedy: Where QuoteLeads determines, in its sole discretion, that all conditions have been met and a valid claim has been properly submitted, QuoteLeads will provide one additional 30-day platform management period at no further platform management fee. This is the sole and exclusive remedy under this guarantee. No monetary refund, credit, or compensation of any kind is available under this guarantee.

Section 4

Platform Build & Delivery.

QuoteLeads will build and configure the Client's platform system following receipt of all required account access and credentials. The build window is up to 7 business days from that date.

The Client is required to provide all necessary account access, credentials, approvals, and creative assets within 7 calendar days of receiving the QuoteLeads onboarding request. Where the Client fails to provide any required item within this window, the 30-day platform management period and associated billing will commence on day 7 from the date of the onboarding request regardless of whether all assets have been received. QuoteLeads will proceed with available assets and complete the build as materials are provided, however the management period will not be delayed or paused due to Client inaction.

In practice, QuoteLeads aims to have initial advertising previews delivered to the Client within 24-48 hours of receiving all required access, with systems fully configured and ready to go live within 3-5 business days.

Definition of delivery: Platform delivery is confirmed at the point QuoteLeads sends the Client their initial advertising previews. This constitutes delivery of the built system - the platform is configured, the CRM is ready to receive leads, and the advertising infrastructure is complete and ready to activate.

Once initial advertising previews are provided to the Client, the platform build is considered complete and the build fee is fully earned. Refund eligibility is governed exclusively by Section 5.

Following delivery, the Client's platform enters a 30-day management and optimisation window. During this period, QuoteLeads monitors platform performance, refines campaign delivery, and makes optimisation adjustments at no additional cost. This period begins on the date the Client's ads first go live. Any pausing of ads during this period is the Client's responsibility and does not extend or reset the window.

Section 5

Build Fee - Non-Refundable Upon Delivery.

The build fee is non-refundable in all circumstances once initial advertising previews have been provided by QuoteLeads. This applies regardless of the Client's decision to activate the system, changes in business circumstances, dissatisfaction with creative output, or any other reason.

The sole exception is where QuoteLeads has failed to deliver initial advertising previews within 7 business days of receiving all required account access from the Client, and that failure is not caused or contributed to by the Client (including any delay in providing required credentials, approvals, or information). In that event only, a refund of the build fee may be requested in writing.

A refund will only be considered where all of the following conditions are met:

  • No advertising previews or build deliverables have been provided within 7 business days of QuoteLeads receiving all required access
  • The delay is entirely attributable to QuoteLeads and not caused or contributed to by the Client
  • A written refund request is submitted within the initial 30-day window
  • The Client has met all obligations under these Terms

Advertising spend paid directly to third-party platforms is non-refundable under any circumstances.

Section 6

Platform Ownership & System Rights.

QuoteLeads retains full ownership of all platform systems, frameworks, templates, automation logic, methodologies, and proprietary configurations used to build and operate the Client's lead generation infrastructure. Access to these systems is provided to the Client under licence for the duration of their active platform subscription.

All advertising accounts, campaign assets, creative materials, and data generated through the platform are the Client's property from the point of delivery. As all fees are paid in full prior to build commencement, no asset is withheld pending payment. The Client has full access to all built assets from the moment advertising previews are delivered.

The Client acknowledges that the platform, its underlying systems, and any associated intellectual property remain the exclusive property of QuoteLeads at all times. The Client may not reverse-engineer, replicate, or attempt to reproduce any element of the platform's systems or methodology.

Section 7

Client Interference & Platform Compliance.

QuoteLeads accepts no liability for disruption to platform performance caused by the Client's direct interference with advertising accounts, including unauthorised campaign modifications, budget changes, or actions resulting in ad account suspension or platform policy violations.

Where Client interference causes measurable disruption, QuoteLeads' platform obligations are suspended for that period. The Client is solely responsible for any costs or penalties arising from their own platform policy violations.

Section 8

Communication.

All platform communication is conducted by email. QuoteLeads operates as a technology platform and does not provide phone support or operate as a call centre. Support is handled asynchronously. The Client acknowledges that the absence of real-time or phone-based support does not constitute a breach of these Terms.

Section 9

Fees & Billing.

Fees are as stated on the QuoteLeads invoice. Invoices are due upon receipt. If payment is not received within 5 calendar days, QuoteLeads reserves the right to suspend all platform access until the outstanding balance is cleared.

Platform access continues month-to-month following the initial term. Fee changes will be communicated in writing with a minimum of 14 days' notice and take effect from the next billing cycle.

Where the account manager continues to action, manage, or optimise the Client's account after the next billing date has passed - including but not limited to campaign adjustments, lead delivery, follow-up automation, or platform support - this constitutes the Client's acceptance of the next billing cycle, and the corresponding fee becomes immediately due and payable to QuoteLeads regardless of invoice or payment status. Where an alternative fee arrangement is in place (e.g. a revenue-share or commission-based arrangement), the fee owed under this clause will be deducted from the next amount payable to the Client under that arrangement before any balance is released. This clause is subject to the dispute resolution process set out in Section 16.

SMS usage: The first 50 leads or 500 SMS messages per billing cycle are included (whichever comes first). Usage resets on the Client's invoice date each month. Unused inclusions do not roll over. SMS beyond the included volume requires a prepaid credit top-up. The platform will not send messages beyond the available credit balance.

All fees are exclusive of GST unless otherwise stated. GST will be added where applicable and a valid tax invoice issued in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Section 10

Term & Termination.

Either party may end this Agreement at any time. Platform access continues through to the end of the current billing cycle. All fees accrued to the termination date remain due and payable.

The Client may request a pause of platform access at any time by written notice to QuoteLeads. During a pause, billing is suspended and active campaign delivery pauses.

Section 11

Confidentiality.

Both parties agree to keep confidential all non-public information shared during the term of this Agreement, including business strategies, platform data, system configurations, and campaign details.

Section 12

Limitation of Liability.

To the maximum extent permitted by law, QuoteLeads' total aggregate liability to the Client shall not exceed the total fees paid by the Client to QuoteLeads in the 30 days immediately preceding the event giving rise to the claim. QuoteLeads is not liable for any indirect, incidental, consequential, or special loss or damage, including loss of profits, revenue, data, or business opportunity.

Nothing in these Terms excludes, restricts, or modifies any right or guarantee implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded by agreement.

Section 13

Privacy & Data.

Each party agrees to comply with its obligations under the Privacy Act 1988 (Cth) and the Australian Privacy Principles. The Client warrants that it has obtained all necessary consents to provide lead and customer data to QuoteLeads for platform operation. QuoteLeads will take reasonable steps to protect personal information in accordance with its Privacy Policy.

Section 14

Inactive Accounts & Data Retention.

Where a Client's account shows no login activity, campaign activity, or payment for 30 consecutive calendar days, and the account has not been formally paused under Section 10, QuoteLeads will treat the account as inactive. QuoteLeads will provide at least 7 days' written notice to the Client's last known email address prior to deletion, giving the Client the opportunity to reactivate the account or request an export of their lead and campaign data. If no response is received within that 7-day notice period, QuoteLeads may delete the Client's CRM data, lead history, and campaign assets associated with the account. This does not affect QuoteLeads' separate obligation to retain billing and invoice records for the statutory period required under Australian tax law, regardless of account status.

Section 15

Force Majeure.

Neither party is in breach of these Terms for any delay or failure caused by events beyond their reasonable control, including acts of God, natural disasters, pandemic, war, government restrictions, power outages, internet or telecommunications failures, or third-party platform policy changes (including advertising platform suspensions or algorithm changes). If a Force Majeure Event continues for more than 30 days, either party may terminate by written notice without liability, subject to payment of fees accrued to that date.

Section 16

Dispute Resolution.

Any dispute must follow this process before legal proceedings are commenced (except applications for urgent relief):

  1. Written notice - the party raising the dispute provides written notice specifying the nature and resolution sought.
  2. Negotiation - within 10 business days, representatives of both parties must meet (in person, by phone, or video) and attempt resolution in good faith.
  3. Mediation - if unresolved within 20 business days of written notice, either party may refer the matter to a mutually agreed mediator, with costs shared equally.
Section 17

General Provisions.

Governing law: These Terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.

Entire agreement: These Terms, together with any invoice or onboarding documentation provided by QuoteLeads and accepted by the Client, constitute the entire agreement between the parties and supersede all prior representations and arrangements.

Variation: QuoteLeads may update these Terms with 14 days' written notice. Continued use of the platform after the notice period constitutes acceptance.

Severability: If any provision is found invalid or unenforceable, it is severed and the remaining Terms continue in full force.

Waiver: Failure to enforce any provision does not constitute a waiver. Any waiver must be in writing.

Notices: All notices under these Terms must be in writing and delivered by email to the other party's last known email address, with confirmation of receipt. Notices sent by email are deemed received on the next business day following transmission. Notices to QuoteLeads must be sent to contact@quoteleads.com.au.

Relationship of parties: QuoteLeads is an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or fiduciary relationship.

Assignment: The Client may not assign or transfer any rights under these Terms without QuoteLeads' prior written consent. QuoteLeads may assign these Terms to a related entity or successor as part of a business restructure.
