Rental Terms.

These terms govern the rental of a QuoteLeads Turnkey Lead Engine. By activating an Engine, you agree to be bound by them in full.

Overview

What these Terms cover.

These Turnkey Lead Engine Rental Terms ("Terms") govern the rental of a QuoteLeads lead generation engine ("Engine") by a business ("Client"). By activating an Engine, the Client agrees to be bound by these Terms in full. These Terms operate alongside the QuoteLeads Terms & Conditions and Privacy Policy. If the Client does not accept these Terms, it must not activate an Engine.

An Engine is rented, not sold. Rental grants the Client the right to receive the enquiries an Engine generates for as long as the rental continues. It does not transfer ownership of the Engine, its brand, or any part of it. Clients seeking to own their lead generation assets outright should refer to the Branded Lead Gen System, which is built under the Client's own brand and remains the Client's property.

Australia only. Engines are offered solely to businesses located and registered in Australia. By activating an Engine, the Client represents and warrants that it is located in Australia and operates a business registered in Australia. QuoteLeads may refuse, suspend, or terminate any rental for a business located outside Australia.

Section 1

What an Engine Is.

An Engine is a pre-existing lead generation asset owned and operated by QuoteLeads. Each Engine comprises some or all of the following, as configured by QuoteLeads:

  • A consumer-facing brand, business name, domain and associated creative assets, owned by QuoteLeads and not by the Client
  • A landing page and multi-step qualification survey
  • A consent flow in which the Client's business is named as the recipient of the enquiry
  • Advertising campaigns on Meta and/or Google, together with their accumulated campaign, pixel and conversion history
  • Lead routing into QuoteLeadsHQ, or into a customer relationship management system nominated by the Client

The composition, configuration, creative and targeting of an Engine are determined by QuoteLeads and may be varied at any time in QuoteLeads' reasonable discretion, provided the Engine continues to generate enquiries of the type contracted.

Section 2

Licence & Ownership.

QuoteLeads retains all right, title and interest in and to each Engine and every component of it, including the brand, business name, domain names, trade marks, landing pages, survey logic, creative assets, campaign structures, pixel and conversion history, and all associated intellectual property. Nothing in these Terms transfers or grants any ownership interest in an Engine to the Client.

For the duration of the rental, QuoteLeads grants the Client a limited, revocable, non-transferable, non-sublicensable licence to receive and use the enquiries generated by the Engine for the Client's own business purposes. This licence confers no rights beyond receipt and use of those enquiries.

The Client must not: register, use or attempt to register any Engine brand, business name, domain or trade mark; replicate, reverse engineer or reproduce an Engine or any part of it; represent to any person that it owns or operates the Engine brand; or transfer, sublicense, resell or share access to an Engine or its enquiries with any other business.

Section 3

Exclusivity.

Each Engine is rented to one Client at a time. For the duration of the rental, QuoteLeads will not rent that Engine to any other business, and every enquiry that Engine generates will be delivered to the Client and to no other party. Enquiries are not resold, shared, or delivered to more than one business.

Exclusivity attaches to the Engine, not to a geographic area, trade, or market. QuoteLeads operates multiple Engines and may rent other Engines to other businesses, including businesses that compete with the Client, in the same suburb, city, region, state or trade. The Client acknowledges that renting an Engine does not confer territorial exclusivity, market exclusivity, or any right to prevent QuoteLeads from operating other Engines in the Client's area of operation.

Section 4

Management & Activation.

Engine rental is fully managed. QuoteLeads is responsible for activation, campaign configuration, creative, targeting, tracking, and ongoing optimisation for the duration of the rental. The Client is not required to hold advertising expertise or to operate any advertising platform.

QuoteLeads will use reasonable endeavours to activate an Engine within 24 to 48 hours of the Client providing all required information, approvals and billing details. Activation timeframes are estimates only and are not guaranteed. Delays caused by the Client, by advertising platform review or approval processes, or by matters outside QuoteLeads' control, do not constitute a breach of these Terms.

Optimisation decisions, including campaign structure, audience selection, creative, and budget allocation within the Client's stated advertising budget, are made by QuoteLeads. The Client may request changes, and QuoteLeads will consider them, but is not obliged to implement any particular change.

Section 5

Rental Fees & Billing.

The rental fee is charged monthly in advance and is stated at the time of activation, from $600 per month plus GST. The rental fee covers management of the Engine and access to QuoteLeadsHQ. It does not cover advertising spend, which is dealt with in Section 6.

Rental is month-to-month with no lock-in term or minimum commitment. Rental fees already paid for a current billing period are not refundable in whole or in part, including where the Client cancels part way through a billing period or where advertising is paused.

QuoteLeads may vary the rental fee on 30 days' written notice. If the Client does not accept a variation, it may cancel under Section 11 before the new fee takes effect. Fees are exclusive of GST unless stated otherwise.

If a rental fee is not paid when due, QuoteLeads may suspend or terminate the rental and cease delivery of enquiries without further notice.

Section 6

Advertising Spend.

Advertising spend is paid by the Client directly to Meta, Google and any other advertising platform. It is never paid to or through QuoteLeads, and QuoteLeads applies no margin, commission or markup to it. The Client is responsible for maintaining a valid payment method on the relevant advertising account and for all charges incurred on it.

Advertising spend is separate from and additional to the rental fee. QuoteLeads recommends a minimum of approximately $50 per day for an Engine to operate effectively. The Client may raise or lower its advertising budget at any time.

The Client acknowledges that enquiry volume is a direct function of advertising spend, and that if advertising spend is reduced, paused, declined, or fails for any reason, enquiry volume will fall or cease. Rental fees remain payable during any period in which advertising is paused or has failed.

The Client is responsible for any advertising platform charges, taxes, currency conversion costs, or fees levied by its payment provider.

Section 7

Enquiries & Consent.

Enquiries are generated through a consent flow in which the Client's business is named to the enquirer before submission. Each enquiry is delivered to the Client in real time, together with the information captured by the qualification survey.

QuoteLeads collects enquirer information through the Engine and discloses it to the Client on the basis of the consent given by the enquirer. The Client becomes responsible for that information from the point of delivery and must handle it in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, the Spam Act 2003 (Cth) and the Do Not Call Register legislation, as applicable to the Client.

The Client must only contact enquirers in relation to the goods or services the enquirer enquired about, must not add enquirers to unrelated marketing lists, and must not sell, share, or otherwise disclose enquirer information to any third party.

Section 8

No Replacements, Credits or Refunds for Enquiries.

The Client receives every enquiry the Engine generates. QuoteLeads does not operate a replacement, credit, or refund policy for individual enquiries. Enquiries are pre-filtered by the qualification survey, but QuoteLeads does not warrant that every enquiry will be accurate, contactable, qualified, in market, a property owner, or interested in proceeding.

No credit, replacement, refund or fee reduction is available in respect of enquiries that are duplicated, uncontactable, incorrectly completed, submitted by renters or non-decision-makers, outside the Client's preferred job type, or that do not convert.

The Client's remedy for dissatisfaction with enquiry quality is to cancel the rental under Section 11.

Section 9

No Outcome Representations.

QuoteLeads makes no representation, warranty or guarantee as to enquiry volume, enquiry quality, conversion rate, appointment rate, revenue, profit, return on investment, or any other outcome. Historical performance of an Engine, including any campaign, pixel or conversion history it carries, is not a representation of future performance.

Outcomes depend on factors outside QuoteLeads' control, including the Client's speed of response, sales process, pricing, reputation, capacity, service area, seasonal demand, local competition, advertising budget, and prevailing advertising platform conditions.

Section 10

Client Obligations.

The Client must:

  • Hold and maintain all licences, registrations, insurances and qualifications required to perform the work it is being introduced to
  • Respond to enquiries promptly and deal with enquirers honestly and in accordance with the Australian Consumer Law
  • Provide accurate business information for use in the consent flow, and notify QuoteLeads promptly if it changes
  • Maintain a valid payment method on the advertising account and keep rental fees current
  • Not interfere with, alter, pause or reconfigure the Engine, its campaigns, its advertising account, or its tracking, except through QuoteLeads
  • Not make any representation to an enquirer that it owns or operates the Engine brand
  • Comply with all applicable laws and with the terms and advertising policies of Meta, Google and any other platform on which the Engine operates

QuoteLeads may suspend or terminate a rental immediately where the Client breaches this Section, where the Client's conduct places an advertising account or Engine at risk, or where the Client's conduct may expose QuoteLeads or an enquirer to loss, complaint or regulatory action.

Section 11

Term, Cancellation & What Happens on Exit.

Rental commences on activation and continues month-to-month until cancelled. The Client may cancel at any time, effective at the end of the current billing period. QuoteLeads may cancel at any time on 30 days' written notice, or immediately in the circumstances described in Sections 5 and 10.

On cancellation or termination:

  • The Engine, including its brand, domains, creative, campaigns and campaign history, remains the property of QuoteLeads and reverts to QuoteLeads' control
  • Enquiry delivery to the Client ceases, and the Client has no continuing right to enquiries generated by the Engine after the effective date
  • The Client's business name is removed from the Engine's consent flow
  • QuoteLeads may rent the Engine to another business, including a competitor of the Client, without restriction or notice
  • The Client retains the enquiries already delivered to it and any records it created from them, and may continue to use them subject to Section 7
  • Rental fees paid for the current billing period are not refunded
  • Access to QuoteLeadsHQ is governed by the QuoteLeads Terms & Conditions

The Client is responsible for removing its payment method from any advertising account it controls following termination. QuoteLeads is not liable for advertising charges incurred by the Client after the effective date of termination.

Section 12

Advertising Platform Dependency.

Engines operate on third party advertising platforms. Those platforms may change their policies, pricing, algorithms, approval processes or account requirements, or may restrict, suspend or disable an advertising account or advertisement, at any time and without notice to QuoteLeads or the Client.

QuoteLeads is not liable for any interruption, reduction or cessation of enquiry flow caused by an advertising platform. Where an Engine is materially disrupted by platform action, QuoteLeads will use reasonable endeavours to restore operation or to offer the Client an alternative Engine, and if neither is achievable the Client may cancel under Section 11.

Section 13

Privacy & Data.

QuoteLeads handles personal information in accordance with its Privacy Policy and the Privacy Act 1988 (Cth). Personal information collected through an Engine is collected by QuoteLeads and disclosed to the Client on the basis of the enquirer's consent.

Once an enquiry is delivered, the Client is independently responsible for its handling, storage, security, use and disposal, and for responding to any request, complaint or notifiable data breach relating to information in its possession.

QuoteLeads retains Engine-level data, including campaign, pixel, conversion and performance data, as its own property, both during and after the rental.

Section 14

Confidentiality.

Each party must keep confidential the non-public information of the other party disclosed in connection with a rental, including pricing, campaign structures, creative, performance data and business information, and must not disclose it except as required by law or to advisers under a duty of confidence.

Section 15

Limitation of Liability.

Nothing in these Terms excludes, restricts or modifies any right, guarantee or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. Where liability can be limited, QuoteLeads' liability is limited, at its option, to resupplying the service or paying the cost of having it resupplied.

To the maximum extent permitted by law, QuoteLeads is not liable for indirect, incidental, special or consequential loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill, or loss arising from enquiries that do not convert, and QuoteLeads' aggregate liability arising out of or in connection with a rental is limited to the rental fees paid by the Client in the three months preceding the event giving rise to the claim.

The Client indemnifies QuoteLeads against any claim, loss or liability arising from the Client's use of enquiries, the Client's performance of work for an enquirer, or the Client's breach of Section 7 or Section 10.

Section 16

Force Majeure.

Neither party is liable for any failure or delay in performance caused by an event beyond its reasonable control, including natural disaster, fire, flood, pandemic, industrial action, war, act of government, or failure of telecommunications, internet or third party infrastructure.

Section 17

Dispute Resolution.

Before commencing proceedings, a party with a dispute must notify the other in writing setting out the nature of the dispute and the outcome sought. The parties must then attempt in good faith to resolve the dispute within 21 days. This clause does not prevent either party from seeking urgent interlocutory relief.

Section 18

General Provisions.

These Terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland.

QuoteLeads may amend these Terms on 30 days' written notice. Continued rental after the notice period constitutes acceptance. If any provision is found unenforceable, it is severed and the remainder continues in force. A failure to enforce a provision is not a waiver of it.

The Client may not assign its rights under these Terms without QuoteLeads' prior written consent. QuoteLeads may assign these Terms to a related entity or successor as part of a business restructure.

These Terms, together with the QuoteLeads Terms & Conditions and Privacy Policy, constitute the entire agreement between the parties in relation to the rental of an Engine.
